Amped Finance

These Terms of Service (the "Terms") govern your access to and use of the Amped Finance website, Documentation and web application (collectively, the "Site" or "Interface"), operated by Harmonic Labs S.A. ("Harmonic Labs," "we," "us," or "our"). Harmonic Labs S.A. is a Panamanian company (55th Street East, P.H. SL 55 Building, Floor 21, Suite 3, Panama City, Republic of Panama) and provides this Interface as one way to interact with the decentralized Amped Finance protocol. By accessing or using the Site or Interface, you acknowledge that you have read, understood, and agree to be bound by these Terms and the Amped Finance Privacy Policy. If you do not agree to any part of these Terms, you must not use the Site or Interface.

Please read these Terms carefully, including the risk disclosures in Section 6 and disclaimers/limitations of liability in Sections 7 and 8, before using the Interface. By using the Interface, you also agree that Harmonic Labs provides only a software Interface to a decentralized protocol and does not control or conduct your transactions. All trades and transactions are executed peer‑to‑peer via smart contracts on public blockchain networks, without brokerage, custody, or clearing services provided by Harmonic Labs. The Interface is one of multiple access points to the underlying Amped Finance decentralized protocol (the "Protocol"), which consists of autonomous smart contracts on blockchain networks (such as LightLink). You are not required to use this Interface – you can interact with the Protocol directly or through other interfaces – and Harmonic Labs does not have possession or control of your assets at any time.

1. Acceptance of Terms

By accessing, connecting a wallet to, or using any part of the Site or Interface, you agree to comply with these Terms. These Terms form a binding agreement between you and Harmonic Labs. You acknowledge that the Interface is provided on an "as is" and "as available" basis without any warranties (see Section 7), and that your use of the Interface is at your own risk. If you are using the Interface on behalf of an organization, you confirm that you have the authority to agree to these Terms on that organization's behalf.

No Agency or Brokerage: Nothing in these Terms creates any agency, partnership, joint venture, fiduciary or brokerage relationship between you and us. Your use of Amped Finance is independent and at your own discretion; Harmonic Labs is not acting as your broker, intermediary, agent, or advisor and does not provide investment, legal, or tax advice.

2. Eligibility

You must meet all the following conditions to use the Interface. By using the Site, you represent and warrant that:

Legal Capacity: You are at least the age of majority in your jurisdiction and have the full legal capacity to enter into these Terms. If you are using the Interface on behalf of a legal entity, that entity is duly organized and you have authority to bind it to these Terms.

Not a Restricted Person: You represent that you are not a "Restricted Person," including:

• - Canadian Persons: any natural or legal person located, incorporated, otherwise established in, resident of, a citizen of, or operating in Canada
• - Singaporean Persons: any natural or legal person located, incorporated, otherwise established in, resident of, a citizen of, or operating in Singapore
• - U.S. Persons: U.S. citizens, residents, permanent residents, or entities organized under U.S. laws or with principal business in the U.S.
• - Restricted Territory Persons: Individuals or entities in/from Crimea, Donetsk, Luhansk, North Korea, Iran, Syria, Cuba, Russia, Belarus, or any jurisdiction subject to comprehensive sanctions by the U.S., EU, UK, or UN.

No Sanctioned Persons: You are not listed on any sanctions or watch lists maintained by OFAC, the EU, U.K. HM Treasury, the U.N., or similar authorities. You will not use the Interface to facilitate transactions with, or on behalf of, any sanctioned individual, entity, or territory.

No Circumvention: You will not use any VPN, proxy, or other tool or technique to disguise your location or circumvent the above restrictions. We may restrict or block access to the Interface if we suspect you are violating this requirement.

Compliance with Laws: Your use of the Interface complies with all laws and regulations applicable to you. You are not using the Interface for any unlawful purpose, and your use will not contravene any applicable anti‑money‑laundering (AML), counter‑terrorist‑financing (CTF), sanctions, or other financial regulatory laws.

If you do not meet all of these criteria, you must not use the Interface. We reserve the right to terminate or refuse your access to the Interface if we believe you are a Restricted Person or have otherwise made a false representation regarding your eligibility.

3. Services and Non‑Custodial Protocol Interface

Decentralized Protocol: Amped Finance is a non‑custodial protocol designed with the fundamental goal of operating as a decentralized system for trading cryptocurrency perpetual swaps and other digital asset transactions. The Amped Finance Protocol exists as smart contracts on public blockchain networks. The Interface (hosted at the Amped Finance website) is a graphical user interface that allows users to conveniently interact with those smart contracts. This Interface is only one of several possible access points to the Protocol – the Protocol can be accessed directly or through third‑party interfaces. Harmonic Labs does not own or fully control the underlying Protocol; it is an open and permissionless set of smart contracts that users can interact with at their own risk and initiative.

Non‑Custodial Service: All transactions you execute via the Interface are conducted peer‑to‑peer directly between you and other participants or smart contracts on the blockchain. Harmonic Labs never takes custody of your cryptocurrency or digital assets at any time. You retain control of your assets via your own blockchain addresses and private keys. You are solely responsible for managing and safeguarding your cryptographic keys and wallets. We do not have the ability to access, recover, or freeze your assets in the Protocol.

No Broker or Custodian: Harmonic Labs is a technology provider – we do not provide brokerage services, exchange or trading services, custody of assets, execution or matching services, settlement or clearing services, or any other services that are typical of regulated financial intermediaries. All trades are settled on the blockchain by the Protocol's code.

Platform Features: Through the Interface, users can trade perpetual swap contracts with leverage, perform spot swaps, provide liquidity to the Protocol, and stake tokens to earn rewards. Information such as price feeds or balances is provided for convenience only and may not always be accurate or up to date.

AMP Token: Amped Finance has a native utility token called AMP. The AMP token is a governance token of the Protocol. Holders of AMP may participate in governance votes and may stake or hold AMP to receive a share of the Protocol's fees. AMP is not an equity, debt, or security instrument, and holding AMP does not entitle you to any ownership in Harmonic Labs or any guaranteed returns.

4. User Obligations and Prohibited Uses

When using the Amped Finance Interface, you agree to:

• - Not engage in illegal activity
• - Not violate others' rights
• - Not participate in market manipulation (including front‑running, spoofing, wash trading, or similar schemes)
• - Not interfere with or disrupt the Interface or Protocol (including hacking, DDOS, or introducing malware)
• - Not bypass security measures or restrictions, including using VPNs to evade jurisdictional blocks
• - Not upload unlawful or infringing content

Violation may result in suspension or termination of access and possible legal consequences.

5. No Advice; No Fiduciary Duty

All information provided by Amped Finance is for informational purposes only and does not constitute legal, financial, investment, or tax advice. Harmonic Labs owes no fiduciary duties to you. You alone are responsible for your trading decisions.

6. Risks and Assumption of Risk

Using Amped Finance or the Protocol carries significant risks, including but not limited to:

• - Market risk and volatility, enhanced by leverage: Prices of digital assets can change quickly and unpredictably. Using leverage (borrowed funds) increases both potential gains and potential losses.
• - Smart‑contract vulnerabilities and exploits: Smart contracts are self-executing code. Bugs or flaws in the code can be exploited by hackers, leading to a loss of funds.
• - Liquidity risk and potential manipulation: If there aren't enough buyers or sellers, you may not be able to exit a trade at a fair price. Low liquidity can also make the market easier to manipulate.
• - Blockchain network failures or forks: The underlying blockchain (like Ethereum) could slow down, stop working, or split into two versions, affecting your ability to use the platform.
• - Irreversible transactions: Blockchain transactions can't be undone. If you make a mistake or get hacked, your funds may be permanently lost.
• - Wallet security and loss of private keys: You are responsible for your wallet and private keys. If someone gets access or you lose them, your funds can't be recovered.
• - Regulatory uncertainty: Laws around DeFi and digital assets can change. Governments may impose new rules that affect your access to the platform or your use of digital assets.
• - Dependence on third‑party services: The platform may rely on other services (like price feeds or bridges). If those fail, the platform may not work as expected.
• - Tax liabilities: You may owe taxes on your gains or activities, even if you don't receive tax forms. It's your responsibility to understand and report them.

The list of risk disclosures is not intended to be exhaustive, and you should do your own research before using the Interface or engaging with the Protocol. By using the Interface, you assume all such risks and release Harmonic Labs from liability for losses arising out of them.

7. Disclaimers and No Warranties

The Interface or any service thereof is provided "as is" and "as available," without warranties of any kind. Harmonic Labs disclaims all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non‑infringement. We do not guarantee continuous, secure, or error‑free operation of the Interface.

8. Limitation of Liability

To the fullest extent permitted by law:

• - Harmonic Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or relating to your use of the Interface.
• - Our total cumulative liability shall not exceed USD $100.

9. Indemnification

You agree to indemnify and hold harmless Harmonic Labs and its affiliates against all claims, damages, and expenses arising from:

• - Your use of the Interface or Protocol
• - Your violation of these Terms or applicable laws
• - Your misuse of the Site or smart contracts
• - Your violation of third‑party rights
• - Your use of third‑party products or services
• - Your misrepresentations to us

10. Intellectual Property

Harmonic Labs owns the Site, Interface, and related content, except for open‑source components. You may not copy, modify, distribute, or create derivative works from Amped Finance content without permission. Any improvements or developments to the Interface or Protocol that arise from our interaction with you automatically become our intellectual property. You also grant us a worldwide, perpetual, royalty-free license to use any contributions you make to the Interface or Protocol.

11. Suspension and Termination

Harmonic Labs may suspend or terminate your access to the Interface at any time, without notice, for any reason including violation of these Terms or legal obligations. Provisions that by their nature should survive termination will survive.

12. Governing Law and Dispute Resolution

Governing Law: These Terms are governed by the laws of the British Virgin Islands.

Arbitration: Any dispute shall be finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its Administered Arbitration Rules. The seat of arbitration is Hong Kong, the language is English, and the tribunal shall consist of one arbitrator.

Class Action Waiver: Disputes must be brought on an individual basis; class actions and jury trials are waived.

13. Miscellaneous

• - No Waiver: Failure to enforce any provision is not a waiver.
• - Severability: If any provision is invalid, the remainder remains in effect.
• - Entire Agreement: These Terms constitute the entire agreement regarding your use of the Interface.
• - Assignment: You may not assign these Terms without consent; we may assign without notice.
• - Force Majeure: We are not liable for events beyond our reasonable control.
• - No Third‑Party Beneficiaries: Except for Indemnified Parties, none are intended.
